These Terms of Service ("Terms") govern your access to and use of Kippera's AI communications platform and related services (the "Service"). By creating an account or using the Service, you ("Customer," "you") agree to these Terms. If you are entering into these Terms on behalf of a business, you represent that you have authority to bind it.
Kippera provides software that answers calls, text messages, web chat, email, and social-media messages (such as Facebook and Instagram) on a Customer's behalf using artificial intelligence; books and manages appointments; sends follow-up communications and appointment reminders; captures voicemails and generates transcripts; captures leads from web forms and connected lead sources; manages online reviews; supports multi-location business operations; and enables Customer integrations with third-party services including Google Calendar, CRM platforms, and accounting software. The Service relies on third-party providers (including Twilio, Anthropic, ElevenLabs, Stripe, AWS, Google, Meta, and Mailgun) to function.
You are solely responsible for your use of the Service and for compliance with all laws applicable to your communications with your End Users, including:
Kippera provides tools and default safeguards (AI self-disclosure in all conversations, STOP/HELP handling, marketing consent gating, recording-consent disclosures) to assist compliance, but you remain the responsible party for lawful use of the Service.
You will not use the Service to: send unlawful, harassing, deceptive, or unsolicited messages; violate the TCPA or other communications laws; infringe others' rights; transmit malware; attempt to breach security; use the Service in connection with healthcare or medical services; or resell the Service without authorization. We may suspend the Service for violations or to protect the platform, Customers, or third parties.
The Service uses artificial intelligence to generate responses and may produce output that is inaccurate, incomplete, or unexpected. You are responsible for reviewing and supervising the Service's operation. The Service does not provide legal, medical, financial, real-estate, or other professional advice, and AI output is not a substitute for human judgment. Pricing estimates provided by the AI are informational only and do not constitute a binding quote or contract.
Where you enable call recording, you are solely responsible for ensuring that all required consents and disclosures are provided to callers under applicable federal and state law (including two-party consent states). Kippera provides a recording-consent disclosure mechanism; enabling it is your responsibility.
The Service integrates third-party providers and, where you choose, optional integrations (e.g., Google Calendar, Google Business Profile, Facebook / Instagram, payment processors (Stripe, Square, PayPal), CRM connectors, accounting software, number porting carriers, and marketplace lead sources). Your use of those services is subject to their own terms, and we are not responsible for third-party services, their availability, or their content.
When you connect a third-party account (e.g., a Facebook Page, Google account, or CRM), you authorize Kippera to access and use that account as necessary to provide the features you have enabled.
Where number porting is available, you retain the right to port your phone number to another carrier at any time. Porting timelines and processes are governed by carrier and regulatory requirements outside our control.
Our handling of personal information is described in our Privacy Policy. As between the parties, you are the controller of your End-User data and Kippera processes it on your behalf to provide the Service. You grant us the rights necessary to host, process, and transmit that data for that purpose.
Kippera and its licensors own all rights in the Service, including software and content we provide. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. You retain ownership of your own data and content.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI OUTPUT WILL BE ACCURATE OR SUITABLE FOR ANY PARTICULAR PURPOSE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, KIPPERA WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR REVENUES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.
You will indemnify and hold harmless Kippera and its officers, employees, and agents from claims, damages, and costs (including reasonable attorneys' fees) arising out of: your use of the Service; your content or messages; your violation of these Terms or applicable law (including the TCPA, telemarketing, call-recording, Fair Housing, and AI-disclosure laws); and claims by your End Users relating to communications sent through the Service on your behalf.
These Terms apply while you use the Service. Either party may terminate as described in your plan; we may suspend or terminate for breach, non-payment, or to comply with law. Upon termination, your right to use the Service ends and we will handle data deletion as described in the Privacy Policy. You retain the right to export your data and port your phone number as described herein.
These Terms are governed by the laws of the State of Georgia, without regard to conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the courts located in Gordon County, Georgia for any disputes arising under these Terms.
We may update these Terms from time to time. Material changes will be communicated with at least 30 days' notice where feasible, and continued use after the effective date constitutes acceptance.
